1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the website located at https://axinofy.com (“Website”), operated by Axinofy (“we,” “us,” or “our”), as well as all inquiries, project requests, digital tools, software products, and professional services offered by Axinofy.
By accessing our Website, submitting an inquiry, or requesting an audit or proposal, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our Website or submit service requests.
2. Scope of Website & Services
Axinofy is a technology and software development studio providing a range of digital solutions, including:
- Custom Software & Application Development: Web applications, mobile apps, bespoke internal tools, automation scripts, and AI-assisted workflows.
- Axinofy Software Products: Independently published browser extensions, utilities, and productivity applications distributed through marketplaces such as the Chrome Web Store. Individual products may also be subject to specialized end-user licensing terms and dedicated product privacy notices.
- Specialized Website Development & Care Packages:Tailored website design, conversion optimization, enrollment funnels, and ongoing technical maintenance packages designed for local service businesses, including Daycare & Preschool operators.
3. Proposals, Written Agreements & Third-Party Contract Handoff
Submitting an inquiry, contact form, service project request (such as via our service intake forms), or requesting a Free Enrollment Leak Audit on axinofy.com does not create a binding contract, does not obligate Axinofy to accept your project, and does not process payments on this Website.
All client engagements are formally established only after discovery review, project qualification, and mutual execution of a formal written agreement, proposal, or statement of work (“Service Agreement”). Contract execution, scope sign-off, and electronic invoices are managed via trusted third-party contracting platforms (such as Indy) or countersigned digital proposals.
In the event of any conflict between these general Website Terms and the specific provisions of an executed Service Agreement, the executed Service Agreement shall govern for that specific project.
4. Pricing, Setup Fees & Monthly Plans
Our service offerings and website packages generally distinguish between one-time onboarding investments and continuous technical care:
- One-Time Setup & Build Fees: Compensate for onboarding, custom design, staging site architecture, copywriting integration, technical SEO foundation, mobile responsiveness, and production deployment preparation.
- Recurring Monthly Care Plans: Cover managed cloud hosting, automated backups, security patches, software dependency updates, uptime monitoring, and ongoing monthly content or technical support hours as defined in your plan.
- Minimum Commitment Terms: Certain hybrid development and care packages (such as Enrollment Starter or Plus plans) require an initial minimum commitment period (typically three months) before transitioning to a standard month-to-month service schedule. This commitment ensures project setup costs and initial optimization investments are properly amortized.
- Pilot Program Introductory Periods: Clients participating in pilot cohorts or introductory pricing tiers enjoy discounted rates for the duration specified in their pilot agreement. Following the expiration of the pilot period, standard monthly care rates apply unless otherwise renewed or renegotiated in writing.
- Optional Third-Party Costs: Domain registration and renewal fees, third-party premium plugins, specialized API usage credits, external booking platforms, and payment processor transaction fees are external pass-through expenses and remain the sole responsibility of the client, unless explicitly itemized as included in your signed agreement.
5. Proposed Setup-Fee Refund Policy
“If you choose not to approve your staging website during the 14-day review period after we deliver the preview, you may request a refund of the setup fee before written approval or production deployment.”
To maintain transparency and accountability, our proposed setup-fee refund policy is subject to the following express conditions:
- The refund request must be delivered in writing within fourteen (14) calendar days following the delivery of your private staging preview link.
- The refund request must be submitted prior to written staging approval, sign-off, or deployment to a live production domain. Once written staging approval is provided or production deployment begins, the setup fee is non-refundable.
- This policy applies exclusively to the one-time setup fee. It does not apply to completed monthly care periods, work already delivered and accepted, or non-refundable third-party pass-through costs (such as domain registrations or third-party software licenses).
- All refund claims remain governed by the formal terms and conditions of your executed Service Agreement.
6. Revisions & Change Requests
Clear revision workflows ensure projects launch efficiently and stay on schedule:
- Minor Adjustments During Build: Minor copy tweaks, swapping client-supplied photos, adjusting color tints, and minor styling refinements within the agreed wireframe or scope are welcomed during the active build and review phase.
- Major Structural Revisions: Requests to alter fundamental layout structures, redesign approved sections, add new pages not outlined in the initial proposal, or re-architect user flows after staging delivery constitute out-of-scope work.
- Out-of-Scope Quotations: Any work exceeding the agreed scope will be quoted as a separate milestone, fixed-price change order, or billed at our prevailing standard hourly rate with your prior written authorization.
7. Ownership, Handover & Cancellation
We respect your digital assets and maintain clear boundaries regarding intellectual property:
Client Ownership:
You retain all ownership, rights, and title to your business name, logos, trademarks, copyrighted brand assets, center-supplied photographs, and client copy. Upon receipt of full payment for all applicable setup and build fees, you own the final agreed visual design deliverables and bespoke website copy created specifically for your business. Domain names registered directly by you remain your property at all times.
Axinofy Property & Managed Systems:
Axinofy retains all rights, title, and ownership in and to its proprietary internal tools, workflow automation scripts, development frameworks, custom code libraries, and server configurations. The managed hosting environment and maintenance infrastructure remain under Axinofy's administration during active subscription periods.
Cancellation & Service Transition:
Monthly care plans may be cancelled by providing written notice in accordance with the notice window specified in your Service Agreement (typically fifteen or thirty days prior to the next billing cycle). Upon the effective date of cancellation:
- Managed cloud hosting, server maintenance, security monitoring, and technical support terminate at the end of the paid billing period.
- Upon written request, Axinofy will provide an export of your website content, text, media, and static assets.
- DNS records can be updated to point your domain to your new self-hosted environment.
- All outstanding invoices or balances through the effective date of termination must be settled.
8. Client Content & Representations
When providing content (such as text, images, videos, trademarks, or student photos) for inclusion on your website or application, you represent and warrant that:
- You own or have secured all necessary permissions, licenses, and parental/guardian releases for all content supplied.
- Your content does not infringe upon any third party's intellectual property, privacy, or publicity rights.
- Your content complies with all applicable local, state, and federal laws and industry regulations.
9. Disclaimers & Limitation of Liability
Our Website, preliminary audits, digital content, and software are provided on an “as is” and “as available” basis. While Axinofy employs high professional standards and industry-standard engineering practices:
- We do not warrant that our Website, software, or third-party hosting will operate completely error-free or uninterrupted.
- We do not guarantee specific commercial results, search engine ranking positions, inquiry numbers, or enrollment conversions.
- To the fullest extent permitted by applicable law, Axinofy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or business opportunities, arising out of or related to your use of our Website or services.
